Meta's Manus Acquisition Halted Triggers Ripple Effect; Multiple Chinese AI Firms Plan to Dismantle Red-Chip Structures and Return to Domestic Entities
After Meta's $2 billion acquisition of AI agent company Manus was halted by China's National Development and Reform Commission, the China Securities Regulatory Commission (CSRC) tightened approval for red-chip structure companies (Chinese firms holding domestic assets via overseas entities like Cayman Islands) to IPO in Hong Kong.
Several Chinese AI companies planning HK IPOs are now evaluating dismantling their overseas structures to return to domestic entities. Moon Dark Side (developer of Kimi series models) is discussing restructuring with lawyers; Step Star has already started dismantling its structure; autonomous driving firm DeepRoute.ai is also having similar discussions.
Dismantling a red-chip structure takes 6-12 months, involving repurchasing overseas shares, setting up Sino-foreign joint ventures, etc. Investors need to pay capital gains tax, and the lock-up period for listing will extend from 6 to 12 months. There is no full ban yet, but CSRC has inquired about overseas holdings of relevant companies.
